Corporate Associate – Leveraged Finance | New York, NY | Onsite

Direct Counsel is representing an Am Law 100 firm seeking a highly motivated Corporate Associate to join its New York office. This is a full-time, onsite opportunity to work on sophisticated transactions with a diverse range of clients across the country.

Position Overview:

The firm is looking to hire an experienced Leveraged Finance Associate with 2–6 years of relevant experience in credit, banking, and finance. The ideal candidate will have substantial experience in lender-side and/or borrower-side financings, including:

• Syndicated credit facilities

• Acquisition financings

• Asset-based lending

Responsibilities:

• Draft and negotiate credit agreements, security agreements, and debt commitment letters

• Review and prepare closing deliverables such as legal opinions, resolutions, secretary’s certificates, schedules, and exhibits

• Represent private equity sponsors and portfolio companies (preferred)

• Collaborate with clients and manage deals from inception through closing

• Support a high-performing, team-oriented legal environment

Qualifications:

• J.D. from an accredited law school with strong academic credentials

• 2–6 years of relevant corporate finance and lending experience

• Excellent drafting, negotiation, and analytical skills

• Strong attention to detail and ability to manage multiple matters simultaneously

• Admitted to the New York Bar

• Demonstrated ability to manage significant client responsibility and work product

Compensation & Benefits:

• Salary range: $235,000 – $390,000 per year (commensurate with experience, qualifications, and geographic location)
